Client Work Product

Unless otherwise specified in a separate written agreement, deliverables created specifically for a client as part of an engagement shall be owned by the client upon full payment. We retain ownership of our pre-existing methodologies, frameworks, tools, and general know-how, and we reserve the right to use anonymized insights and learnings to improve our services.

4. Confidentiality

We understand that our engagements may involve access to confidential business information. We commit to maintaining the confidentiality of client information in accordance with the terms of our engagement agreements. Similarly, our proprietary methodologies, frameworks, and business information shared with clients remain our confidential information.

5. Disclaimer of Warranties

OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERIDIAN SEVEN, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OUR WEBSITE OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Meridian Seven, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your violation of these Terms or your use of our website or services.

8. Engagement Terms

These Terms of Service apply to general use of our website. Specific consulting engagements will be governed by separate engagement letters or statements of work that will address scope, fees, timelines, and other engagement-specific terms. In the event of any conflict between these Terms and a signed engagement agreement, the engagement agreement shall control.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

10. Termination

We reserve the right to terminate or suspend your access to our website at any time, without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the website will immediately cease.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

12. Entire Agreement

These Terms, together with any applicable engagement agreements, constitute the entire agreement between you and Meridian Seven, LLC regarding your use of our website and services, superseding any prior agreements.

We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of our website or services after any changes constitutes your acceptance of the modified Terms.
